Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by WIN Human Resource Solutions (“WIN HR Solutions,” “we,” “us,” or “our”), a company owned and operated by Waylus Management LTD, registered in Cyprus. By accessing or using our website, services, programs, or content (collectively, “Services”), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

We adhere to the principles of transparency, fairness, and lawfulness in all our data processing activities, particularly in compliance with the General Data Protection Regulation (GDPR) (EU) 2016/679.

  • “WIN HR Solutions” / “We” / “Us” / “Our” Refers to the brand and operational entity providing the Services under Waylus Management LTD.
  • “User” / “You”: Refers to any individual, HR professional, or organization accessing or using our Services.
  • “Services”: Refers to all products, content, programs, consulting, training, coaching, and resources offered by WIN HR Solutions, including but not limited to the leadership training program, AI-driven tools (e.g., Remynd4), website content, workshops, and consultations.
  • “Website”: Refers to the official website of WIN Human Resource Solutions and associated web pages.

2. Acceptance of Terms

By accessing or using our Services, you affirm that you are of legal age and have the legal capacity to enter into this agreement. You agree that these Terms constitute a legally binding agreement between you and Waylus Management LTD concerning your use of the Services.

3. Services Description

WIN HR Solutions provides leadership training programs, executive coaching, HR consulting, and related services to individuals and organizations. Our Services may include, but are not limited to, online courses, live workshops, personalized coaching sessions, assessments, AI-driven tools like Remynd4, and downloadable resources. Specific details of each Service, including scope, duration, and pricing, will be provided at the point of purchase or agreement.

4. User Obligations

As a User of our Services, you agree to:

  • Provide accurate, current, and complete information when registering for or using our Services.
  • Maintain the confidentiality of any login credentials or access codes provided to you.
  • Use the Services only for lawful purposes and in accordance with these Terms.
  • Not to engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.
  • Not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without express written permission from us.
  • Comply with all applicable local, national, and international laws and regulations.

5. Intellectual Property Rights

All content, materials, methodologies, tools (including Remynd4), trademarks, service marks, and intellectual property associated with WIN HR Solutions and its Services are the exclusive property of Waylus Management LTD or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your personal and non-commercial use, or for the internal business purposes of your organization, strictly in accordance with these Terms.

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of our Services.
  • Reverse engineer or attempt to extract the source code of our software or tools.
  • Use any automated system or software to extract data from our Services (e.g., screen scraping, web scraping).

6. Blended Learning Specifics and Force Majeure

Given the blended nature of some of our Services, which may include both online and in-person components, the following terms apply:

  • Technical Requirements: For online components, you are responsible for ensuring you have stable internet connectivity, compatible hardware (e.g., computer, microphone, webcam), and any required software as specified by WIN HR Solutions. We are not responsible for disruptions or inability to access online Services due to your technical issues.
  • Program Participation: Your successful completion and benefit from blended programs depend on your active participation in both online modules and scheduled in-person sessions. Non-completion of modules or absence from sessions due to reasons outside of our control will not typically qualify for a refund or rescheduling without additional fees.
  • Unforeseen Circumstances (Force Majeure): In the event that unforeseen circumstances beyond our reasonable control (e.g., natural disasters, public health emergencies, government regulations, venue closures, significant technical failures not attributable to us) impact our ability to deliver in-person components of a Service, we reserve the right to:
    • Reschedule the affected sessions.
    • Transition the affected sessions to a fully online format.
    • Provide alternative arrangements or credits as deemed appropriate by WIN HR Solutions. We will notify affected Users as soon as reasonably practicable. Refunds will generally not be provided for such unforeseen disruptions if alternative delivery is offered, or if the disruption is temporary.
  • Conduct in Blended Environments: Your obligations regarding respectful conduct, intellectual property, and non-interference (as outlined in Section 4 and 5) extend to all online platforms, virtual meeting spaces, and physical venues used during the delivery of our blended Services. This also includes:
    • Confidentiality: Respecting the privacy and confidentiality of other participants and any sensitive information, personal experiences, or business discussions shared within the program sessions, whether online or in-person. You agree not to disclose such information outside the program.
    • No Recording: Prohibiting the unauthorized recording (audio, video, or screenshots) of any online or in-person sessions without the express written consent of WIN HR Solutions and all participants involved.

7. Payment Terms

  • Fees: All fees for our Services will be clearly stated at the time of purchase or agreement. Unless otherwise specified, all fees are quoted in Euros (€).
  • Payment: Payment for Services is due in advance or as per the agreed-upon payment schedule. We accept various payment methods as indicated on our Website.
  • Refunds and Cancellations: Our refund and cancellation policy will be detailed separately for each specific Service or program. Please refer to the relevant program documentation or contact us directly for details. Generally, refunds may be subject to administrative fees and depend on the timing of the cancellation relative to the service start date.
  • Taxes: You are responsible for all applicable taxes associated with your purchase of our Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WIN HR SOLUTIONS AND WAYLUS MANAGEMENT LTD DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WHILE WE STRIVE TO PROVIDE VALUABLE INSIGHTS AND TRAINING, WE DO NOT GUARANTEE SPECIFIC RESULTS OR OUTCOMES FROM THE USE OF OUR SERVICES. ANY ADVICE OR INFORMATION OBTAINED THROUGH THE SERVICES DOES NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAYLUS MANAGEMENT LTD (INCLUDING WIN HR SOLUTIONS), ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO WIN HR SOLUTIONS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Waylus Management LTD (including WIN HR Solutions), its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your account’s) violation of these Terms or your use of the Services.

11. Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the Services, you consent to the practices described in our Privacy Policy. Our Privacy Policy is available on our Website.

13. Termination

These Terms shall be governed and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the courts located in Limassol, Cyprus.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
